Terms of Service

Please read these Terms of Service carefully before using Magnico.ai. By accessing or using our services, you agree to be bound by these terms. If you do not agree, do not use our services.

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Magnico.ai ("Magnico," "we," "us," or "our") governing your access to and use of our website, platform, and services.

By clicking "I agree," completing a booking, signing an onboarding form, or using any part of our services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are agreeing on behalf of a business, you represent that you have the authority to bind that business to these Terms.

Description of Services

Magnico.ai provides AI-powered business automation services for local service businesses, including but not limited to:

  • AI voice receptionist that answers calls, handles FAQs, and books appointments
  • Conversational AI chatbot for web and SMS
  • Missed call text-back automation
  • Reputation management for Google Business Profile and Facebook
  • Unified inbox integrating Facebook, Google, Instagram, and SMS
  • CRM, pipeline management, and appointment booking
  • Done-for-you setup, configuration, and ongoing support

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to active clients.

Account Registration

To access our services, you must complete a discovery call and onboarding process. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access to your account.

You may not share your account credentials with others or allow multiple businesses to use a single account without our written consent.

Payment & Billing

Subscription fees

Our services are billed on a monthly subscription basis at the rate agreed upon during onboarding. Fees are charged in advance at the beginning of each billing cycle.

Payment processing

Payments are processed securely through Stripe. By providing your payment information, you authorize us to charge your payment method for all fees incurred. You represent that you are authorized to use the payment method provided.

Usage-based fees

Voice AI minutes and certain communication features may incur additional usage-based fees billed by third-party providers (such as Vapi or Retell). These fees are separate from your Magnico subscription and will be disclosed during onboarding.

Late payments

If payment fails, we will notify you and attempt to retry the charge. If payment is not received within 7 days, we reserve the right to suspend your services until the balance is settled.

Refunds

All subscription fees are non-refundable except where required by law. If you cancel mid-cycle, you will retain access to services through the end of the paid period. Setup fees, if applicable, are non-refundable once onboarding has begun.

No refunds will be issued for partial months, unused features, or dissatisfaction with AI performance. We encourage you to complete your discovery call and review our services thoroughly before subscribing.

Acceptable Use

You agree to use our services only for lawful business purposes. You may not use Magnico.ai to:

  • Violate any applicable federal, state, or local laws or regulations
  • Send spam, unsolicited messages, or engage in deceptive communications
  • Impersonate any person, business, or entity
  • Transmit harmful, offensive, or fraudulent content
  • Violate the Telephone Consumer Protection Act (TCPA) or CAN-SPAM Act
  • Interfere with or disrupt our platform or infrastructure
  • Attempt to gain unauthorized access to any part of our systems
  • Resell or sublicense our services without written authorization

Violation of this section may result in immediate termination of your account without refund.

AI Services & Limitations

Our AI voice receptionist and chatbot are powered by third-party AI providers. While we work to deliver accurate, helpful, and professional interactions, you acknowledge and agree that:

  • AI responses may occasionally be inaccurate, incomplete, or inappropriate
  • The AI does not replace human judgment and should not be relied upon for medical, legal, or financial advice
  • Call quality may vary based on network conditions, background noise, and other technical factors
  • Appointment bookings made by the AI are subject to your calendar availability and your own confirmation processes

You are responsible for reviewing AI-generated content, monitoring call performance, and ensuring that your customers receive accurate information about your business.

We will work with you to optimize AI performance during onboarding and ongoing support, but we do not guarantee specific booking rates, conversion rates, or call quality outcomes.

Client Responsibilities

To receive the full benefit of our services, you agree to:

  • Provide accurate business information, FAQs, and service details needed to configure your AI agent
  • Respond promptly to onboarding requests and provide access to required third-party accounts (calendar, CRM, phone system)
  • Notify your customers that calls may be handled by an AI and may be recorded, where required by law
  • Comply with all applicable telemarketing, SMS, and communication laws including TCPA
  • Keep your payment information current and up to date
  • Notify us of any changes to your business, services, or contact information that may affect AI performance

Intellectual Property

Our property

All technology, software, workflows, automation templates, prompts, and content created by Magnico remain the intellectual property of Magnico.ai. You are granted a non-exclusive, non-transferable license to use our services for the duration of your subscription.

Your property

You retain ownership of your business data, customer data, and any content you provide to us. By using our services, you grant us a limited license to use your content solely to provide and improve our services.

Feedback

Any feedback, suggestions, or ideas you provide to us may be used by Magnico without compensation or attribution to you.

Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of the business relationship, including but not limited to business strategies, customer data, pricing, and technical configurations.

We will not disclose your business information or customer data to third parties except as described in our Privacy Policy or as required by law.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We do not guarantee any specific business results, including increases in leads, bookings, revenue, or customer response rates.

To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, Magnico.ai and its officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities.

Our total cumulative liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Magnico in the three (3) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Termination

Cancellation by you

You may cancel your subscription at any time by contacting us in writing at least 7 days before your next billing date. Cancellations received after that window will take effect at the end of the following billing cycle.

Termination by us

We may suspend or terminate your account immediately and without notice if you violate these Terms, fail to pay fees, engage in fraudulent or harmful activity, or if we are required to do so by law.

Effect of termination

Upon termination, your access to our platform and services will cease. We will retain your data for up to 90 days after termination, after which it may be permanently deleted. You remain responsible for any fees incurred prior to termination.

Disputes & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to its conflict of law provisions.

Before initiating any formal legal proceedings, both parties agree to attempt to resolve disputes informally by contacting us at the address below and allowing 30 days for resolution.

Any disputes not resolved informally shall be submitted to binding arbitration in accordance with the American Arbitration Association rules. You waive any right to participate in a class action lawsuit or class-wide arbitration against Magnico.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on our website at least 14 days before the changes take effect.

Your continued use of our services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must cancel your subscription before they take effect.
